Innovent Biologics Completes Partnership with Takeda for Next-Generation IO and ADC Therapies

Innovent Biologics has confirmed the completion of its global strategic partnership with Takeda after all closing conditions were met. 

The collaboration, first announced in October 2025, is focused on accelerating the development and worldwide commercialisation of Innovent’s next-generation immuno-oncology and antibody-drug conjugate therapies. The agreement covers joint global development of IBI363, global rights outside Greater China for IBI343, and an exclusive option for Takeda to license the early-stage candidate IBI3001.

Under the partnership, the two companies will jointly develop IBI363, with Takeda leading global development and commercial activities under a unified plan. Innovent has granted Takeda exclusive commercial rights for IBI363 outside Greater China and the U.S., while both companies will share commercial responsibility in the U.S. Takeda also receives global development, manufacturing and commercial rights to IBI343 outside Greater China.

The agreement includes an exclusive option for Takeda to license worldwide rights to IBI3001, an investigational EGFR/B7H3 bispecific ADC currently in Phase 1, outside Greater China.

Takeda will provide Innovent with an upfront payment of US$1.2 billion, which includes a US$100 million equity investment at a premium share price. Innovent may receive up to US$10.2 billion in development and commercial milestone payments across the three assets, bringing the total potential deal value to approximately US$11.4 billion. 

Innovent is also eligible for royalty payments outside Greater China, except for IBI363 in the U.S., where profits and losses will be shared between the two companies.
