MSD Enters into Agreement with Hengrui Pharma for HRS-5346, an Investigational Lipoprotein(a) Inhibitor

MSD has entered into an exclusive licence agreement with Jiangsu Hengrui Pharmaceuticals for HRS-5346, an investigational oral small molecule inhibitor targeting Lipoprotein(a) (Lp(a)).

HRS-5346 is designed to address elevated levels of Lp(a), a known risk factor for atherosclerotic cardiovascular disease. High Lp(a) levels affect approximately 20% of adults globally and are linked to an increased risk of heart attacks, strokes, and other cardiovascular conditions.

The treatment is currently being assessed in a Phase 2 clinical trial in China for its potential in managing cardiovascular disease.

Hengrui Pharma will receive an upfront payment of $200 million and may earn up to $1.77 billion in milestone payments linked to development, regulatory, and commercial progress. Royalties on net sales will also be applicable if the treatment receives approval.

The agreement is subject to regulatory approvals, including clearance under the Hart-Scott-Rodino Antitrust Improvements Act. 

Completion of the transaction is expected in the second quarter of 2025. Once finalised, MSD anticipates a pre-tax charge of $200 million, equating to approximately $0.06 per share, which will be recorded in its financial results for the relevant quarter.

The agreement grants MSD exclusive rights to develop, manufacture, and market HRS-5346 worldwide, excluding the Greater China region.
